Please read these Terms of Service ("Terms") carefully before using this website, its customer portal, SIMBMS (including its WooCommerce integration), SIMEA or SIMPEP (together, the "Services"), all operated by SimpleShift Technology ("we", "us" or "our"). By accessing or using any of the Services, you agree to be bound by these Terms.

1. Acceptance of terms

By creating an account, you confirm that you are at least 18 years old, that you have read and understood these Terms, and that you agree to be legally bound by them. For SIMPEP, you also confirm that you are the parent or legal guardian of the children you enrol, or that they are in your care. If you do not agree, do not use the Services.

2. Description of the Services

• SIMBMS is a cloud-based business management platform for small and micro businesses, with modules including sales, CRM, bookkeeping, payroll, HR, e-commerce and file management. Its WooCommerce integration connects SIMBMS to a WooCommerce store that you operate.
• SIMEA is a cloud-based enterprise architecture platform covering business, application, data and technology architecture, with project management and IT service desk workflows.
• SIMPEP is an online learning platform that helps primary-school children in grades 4 to 6 prepare for the Primary Exit Profile through interactive lessons, quizzes and games, with progress tracking for parents.
• This website and customer portal provide information about our products and, for customers, access to account details and licences.

Access to each product is provided under the plan or enrolment you select.

3. Subscriptions, enrolment and billing

• SIMBMS and SIMEA are offered on monthly or annual plans at the prices shown on each product's website when you subscribe.
• SIMPEP enrolment is billed annually per child, with a reduced rate for each additional child on the same account. Access continues for twelve months from the date of payment and may be renewed before it ends. When you add a child during an active term, the fee for that child is pro-rated over the days remaining in your term.

Payments are processed securely by WiPay. Fees are non-refundable except where the law requires otherwise. We may change prices with at least 30 days' notice, and continued use after a price change means you accept the new price.

4. Account responsibilities

• You are responsible for keeping your sign-in details confidential.
• You are responsible for all activity under your account, including, for SIMPEP, your children's use of the platform.
• You must tell us immediately about any unauthorised use of your account.
• A SIMBMS or SIMEA account may represent only one organisation, and a SIMPEP account is for the children of a single household, unless we agree otherwise in writing.

5. Acceptable use

You agree not to:

• use the Services for any unlawful purpose or in breach of any applicable law or regulation;
• share your sign-in details with anyone outside your organisation or, for SIMPEP, your household;
• try to gain unauthorised access to other accounts, systems or networks;
• upload or transmit malware, viruses or any other malicious code;
• reverse engineer, decompile or disassemble any part of the Services;
• resell or sublicense the Services without our written consent.

6. Intellectual property

All content, trademarks, software, lessons and materials that make up the Services belong to SimpleShift Technology or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use SIMBMS and SIMEA for your internal business purposes, and SIMPEP for the personal educational benefit of the enrolled children only.

7. Your data and content

You keep ownership of all data you upload or create in the Services, including the information you provide about yourself and your children. By using the Services, you give us a limited licence to store, process and display that data only to provide the Services to you. For the data you put into SIMBMS, SIMEA and SIMPEP, you are the data controller and SimpleShift Technology acts as the data processor: we process that data only on your instructions, to provide the Services to you. SIMPEP feedback or ratings you submit may be published, after our team has reviewed and approved them, in connection with the Services; we may decline to publish, or later remove, such content at our discretion. Our Privacy Policy explains how we handle personal information.

8. Service availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, updates or events beyond our control may cause temporary downtime. We are not liable for losses resulting from service interruptions.

9. Termination

We may suspend or terminate your account if you breach these Terms. On termination, your right to access the Services ends immediately. You may cancel a subscription or stop using SIMPEP at any time; access continues until the end of the current billing period or enrolment term, and fees already paid are non-refundable except where the law requires otherwise.

10. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Services will be error-free, that defects will be corrected or, for SIMPEP, that using the Services will lead to any particular academic result.

11. Limitation of liability

To the fullest extent permitted by law, SimpleShift Technology is not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business or opportunity, arising from your use of or inability to use the Services, even if advised of the possibility of such damages. Our total liability to you will not exceed the amount you paid us in the 12 months before the claim.

12. Governing law

These Terms are governed by the laws of Jamaica. Any dispute arising under them is subject to the exclusive jurisdiction of the courts of Jamaica.

13. Changes to these Terms

We may update these Terms at any time. We will tell you about material changes by posting the updated Terms on this page with a new date. Continued use of the Services after changes means you accept the new Terms.
